THIS CONTRACT is entered.into, in duplicate, effective
as of March 12,,1985,r pursuant to,a minute order adopted by the
City Council of the City of Long Beach at its meeting held on
the 12th day of March, 1985, by and between CALIFORNIA STATE
UNIVERSITY LONG BEACH FOUNDATION, a California non - profit
corporation, with offices located at 1250 Bellflower Boulevard,
Long Beach, California 90804, hereinafter referred to as.
"CONTRACTOR" and the CITY OF LONG BEACH, a municipal corporation,
hereinafter referred to as the "CITY ".
WHEREAS, the parties hereto desire to provide training
and /or employment opportunities for economically disadvantaged
.youth residing in the City of Long Beach; and
WHEREAS, the City has submitted an an application to the
State of California, Employment Development Department, for funds
to provide meaningful training and employment opportunities for
low- income'and disadvantaged youth under Title IIB.of the Job
Training Partnership Act (JTPA) of 1982; and
WHEREAS, said application has been approved`.by the
state government, and a Title.IIB prime contract has been executed
by and between the State of California,.Employment Development
Department, and the City,authorizing such programs and providing
the funding therefor under.JTPA, which has been designated as.
No. 8300 -2592 (City contract no. 16936); and'
WHEREAS, the Contractor`_has submitted to,the City a
proposal to.-conduct parts of the City's Summer Youth Employment
Training Program (SYETP) under Title IIB of the City's Job

WHEREAS, the City desires Contractor to conduct certain
portions of the City's JTPA Title IIB work experience program;
NOW, THEREFORE, in consideration of the terms and
conditions-contained herein, it is mutually agreed.by and between
the parties hereto as follows
Section 1. That the following documents are hereby .
incorporated herein and'made a part hereof by this reference as
if set forth in full herein:
(a), The prime contract referenced hereinabove
(or.any extension.or continuation thereof
or any grant agreement which is the
successor - thereto) between the City and
the State of California, Employment De-
velopment Department authorizing a training
and employment program for economically

In the event there is any conflict between the provi-
sions of this contract and the provisions of the state -prime
contract referred to hereinabove, including the attachments
thereto and the documents incorporated therein, as presently
(worded or as amended in the future, the,parties.hereto agree
that the.provisions of said.state prime contract shall prevail.
Section 2. Contractor shall conduct a part of the
City's Job Training Partnership Act program in accordance with
the provisions of Attachments "A" and "B" which are attached
hereto; and'Contractor'hereby'agrees to assume full respon-
sibility for the performance of -the operation, coordination and
administration of such program pursuant to all the terms and
conditions of Attachments "A" and "B ".'•,:
Section.3. The term of this contract shall commence as
of March 12, 1985, and.unless sooner terminated pursuant to.the
provisions hereof, this contract shall terminate at midnight on
September 30, 1985, and all eligible program costs as indicated
in Attachment "B", may be incurred during said period. Either
of the.parties hereto shall have the right to terminate this
contract in its entirety at any time during the term hereof for
any,reason whatsoever by giving 15 days' prior written notice
of termination to the.other party; and the City shall have.the
additional right to terminate or cancel any part of this contract
at any time during the term hereof for any reason whatsoever
by giving 15 days' notice of such termination.and cancellation
to the Contractor.
Section 4.
The City

and expenses incurred by Contractor in the performance of this
contract which are authorized and approved by Attachment "B"
and are in accordance with and pursuant to the state prime con-
tract, to the extent that such prime contract is applicable to
the Contractor's performance hereunder. Such payments by the
City shall-.be made only from state funds and shall.be payable
only after the-City receives said state funds with which to make
such payments from the Employment Development Department pur-
suant to the prime contract. .
City may only make such advance payments hereunder to
the Contractor as are authorized and permitted by the State of
California, Employment Development Department. Such advance
payments to the Contractor shall only be made from funds.which
are received by the City from the "state government'under,the
prime contract for-such disbursement to the Contractor and such,.
payments shall be made in accordance with said prime contract
and pursuant,to Attachment "B ". In no event shall the total of
such advance payments exceed an amount equal'to.the budgeted
.expenses for one and one -half (1 -1/2) months as set forth in
Attachment "B".. 'Contractor will keep and maintain the funds
received hereunder as advance payments in a separate bank
account.
Reimbursable costs and expenses hereunder shall be
limited to the categories of authorized expenses and to the
amounts specified in Attachment "B ". Contractor may, with
prior.written approval from the City Manager or his designee,
make adjustments within and among the categories of expen-
ditures in the program budget (Attachment "B"), and modify the

performance to be rendered hereunder as provided in Attachment
"A"; provided, .however, that such adjustment in expenditures
(shall not exceed the amount of the total budget authorized in
Attachment "B ". The agent or representative of Contractor who
signs as the maker of checks or drafts or in any manner autho-
rizes the disbursement of said funds or expenditure of same
shall be covered'by a blanket fidelity bond regarding the
handling of said funds in an amount of not less than Twenty
Five Thousand Dollars ($25,000'.00).
Contractor shall not charge nor receive compensation
under this contract for any services or expenses unless said
services or expenses are directly and exclusively related to the
purposes of this contract, and provided that payment is not also
received by Contractor from some other source for said services
or expenses.
Disbursement of funds received from the State of
California, Employment Development Department shall be under
the direction of the City Manager or his designee and shall be
in accordance with the provisions of this contract and pursuant
to the prime contract and any additional procedures, regula-
tions and reporting requirements.which are established by the
City that do not conflict with the State of California, Employ-
ment Development Department.
All payments to Contractor by the City, including
.advance payments will be based upon invoices and the necessary
supporting documents which the state government and the City
may require Contractor to submit. The expenditure of all funds
shall be accounted for promptly, and Contractor shall keep

separate detailed accounts for each expenditure for each com-
ponent part.of this project.
Contractor's records relating to the performance of
this contract will be kept and maintained in the manner and
method prescribed by applicable state regulations and.guide lines
and City requirements and will be current, complete and available
for purposes of inspection and audit during business hours as
deemed necessary upon-request by representatives of federal,
state and local agencies. The Contractor shall provide access
to all documents.and.materials related to this contract and-shall
provide any information that the City's designees require.in
order to'monitor and evaluate Contractor's performance of the
program.
Section 5._ Contractor shall promptly.distribute to
the City Manager or.his designee copies of all correspondence
including, but not limited to, financial, operational and per-
formance reports which Contractor submits to or receives from
the State of California, Employment Development Department.
Contractor shall provide all other reports, documents or
information requested or required by the-City or the state
government within three (3) days of written request by the City
unless otherwise stated by the City. Upon termination of the
contract, the Contractor shall perform all necessary close -out
.procedures required by the state government and the City, in-
cluding preparation of.close -out reports and transmittal to
the City of all documents in the possession of Contractor which
relate to the conduct.-Of the program, within the time and in the
manner prescribed by the City. Final payment to the Contractor

under this contract will.be*.paid only after the City has deter-
mined that Contractor has satisfactorily initiated or completed
said close -out procedures.
Section 6. In the performance of this contract, the .
Contractor will not discriminate against any employee or appli -'
cant for employment or service because of race, color, religion,
ancestry, sex, national origin, handicap or age. The Contractor
will take affirmative action to ensure that applicants are
employed,,and that employees are treated during employment or
services, without regard to their race, color, religion,
ancestry, sex, national origin, handicap or age. Such action
shall include, but not be limited to, the following: employment ,
upgrading, demotion or transfer; recruitment or recruitment
advertising; layoff or termination; rates of pay or other forms
of compensation; and selection for training, including apprentice-
ship.
The Contractor -shall permit access by the City or any
other agency of the county,,-state orI federal governments to Con-
tractor's records of employment, employment advertisements,
application forms.and other pertinent data and records, for the
purposes of investigation to ascertain compliance with the fair
employment practices provisions of this contract.
Section 7. It.is distinctly understood that in the per-
formance of this agreement, the Contractor shall at all times be
considered a wholly independent contractor and that Contractor's
obligations to and authority from the City are solely as are
prescribed by this agreement. Contractor expressly warrants
that it will not, at any time, hold itself out or in any manner

represent that Contractor or any of its agents, volunteers, sub -
scribers, members, officers or employees are in any manner the
officers, employees or agents of the City. Contractor shall not
have any authority to bind the City for any purpose at any time
during the term hereof. Contractor or any of Contractor's offi-
cers, employees or agents shall not have any power or authority
as agents or employees of the City and shall not be entitled to
any of the rights, privileges or benefits of a City employee.
Section 8. Contractor may not delegate its duties or
assign its rights hereunder, either in whole or.in part, without
the prior written consent.of the City.
Section 9. Before Contractor shall employ any person
or persons in the performance of this contract, Contractor shall
procure,a policy of',Workers' Compensation Insurance as required
by the provisions of Section.3700 of the Labor Code of the State
of California. -In the case of participants engaged in any JTPA
program activity, i.e., work experience, on- the -job training,
classroom training, services to participants and other activities
where others similarly engaged are not covered by an applicable
workers' compensation insurance statute, the Contractor shall
provide workers' compensation insurance or coverage under a medi-
cal and accident insurance policy for injury or diseases resulting
from such participation; and Contractor shall furnish to the
City Manager a certificate of insurance showing that the aforesaid
insurance is in full force and effect during the entire term of
this contract.
Section 10. Contractor expressly agrees to defend, pro-
tect, indemnify and hold the City, its officers, employees and

agents, free and harmless,from and against any and all claims,

damages, expenses, loss or liability of any kind or nature.

whatsoever growing out of, or resulting from the alleged acts

or omissions of.'Contractor, its officers, agents or employees

in the performance of this agreement; and Contractor shall at
its own cost, expense and risk, defend all claims or legal

actions'that, may be instituted against either-the-Contractor or

City, and Contractor shall pay any settlement entered into or

satisfy any judgment that may be rendered against either

STATEMENT OF WORK
I. CONTRACTOR: CALIFORNIA STATE UNIVERSITY, LONG BEACH FOUNDATION

II. CONTRACT DATES: June 17, 1985 through September 15, 1985
III. PROJECT DESCRIPTION:
Participants
100 SYETP participants will be served for the duration of the
project. All participants will receive all program services
described below. Twenty -five (25) participants will receive
JSA under a different program, but will be'supervised by
this project staff.
Work Experience
During their eight weeks of involvement with JOBPREP 85,
.participants will engage in work experience each week. During
this work experience, participants will begin by being assigned
to a worksite on the CSULB campus. At the worksite,
participants will be given specific work duties, hours they are
expected to work, and will be assigned a worksite supervisor.
JOBPREP staff and participants will meet as a group or
individually each week in order to update and compute time
sheets, complete evaluations, make announcements, and-to discuss
problems, concerns and questions concerning the work experience.
Classroom Training: Job Search Assistance
During the Job Search Assistance-(JSA) portion of of JOBPREP 84,
participants will engage in and complete the various components
of JSA as described below.. All classroom training activities
will be provided by JOBPREP staff, under the auspices of the
Center for Career Studies.
Each participant will receive the following services during
the classroom training component.
1. At .least 16 hours of.job- seeking oral communication skills
training with the specific purpose of preparing participants for
job interviews. JOBPREP staff will use an oral communication
skills training program.
2. Individual and group job counseling aimed at assisting
participants in identifying job interests, career goals,
employment weaknesses, personal strengths and weaknesses, areas
of potential improvement and other practical issues related to
finding and keeping a job.
3. The development of a resume which will be developed•via the
completion and review of an Employment Development Plan (EDP).

4. Private employer linkages which currently exist within the
• Center for Career Studies.and will be tapped fully in order to
identify employment opportunities .suitable to participants after
the summer work experience program.
5. Supportive service referrals will be made if it comes to the
attention of staff that a participant has needs for assistance
which,- if not met, might result in being a barrier to
employment. Services or referrals could include personal and
family counseling, child care, legal assistance, housing,
transportation, and educational counseling.
Project Performance Objectives
* Contractor will place a minimum of 50% of in- school youth in
parttime jobs and 50% of out -of- school youth in fulltime
unsubsidized employment by the end of program operation.
* Contractor will ensure that all in- school youth enrolled in
the program return to school in Fall, 1985
* Contractor will aid in enrolling and assigning youth to the
Prime Sponsor- approved work experience sites and shall have all
authorized positions filled no later than.the close of business
on. July 1, 1985.
* In no case will .a youth be assigned to a work site which the
Prime Sponsor has not approved.
* Each work site will provide substantial training and work
experience to the assigned participants in one or more area*of
work that is transferrable to jobs in the labor market.
* Enrollment will not deviate more than 10% from the percentage
distribution of persons planned to be served by SYETP as
described by the Prime Contractor.
* Participant attendance shall be maintained at 95% or more of
scheduled time in the project.
* All project staff will be provided with an orientation to the
SYETP prior to June 24, 1985. Each staff member will be given
a copy of the documents.provided by the Prime Sponsor.
* Contractor will monitor each work site at least once during
the course of the SYETP and will submit to the Prime Sponsor a
copy' of the Monitoring Report Form as provided by the Prime
Sponsor.
* Contractor will complete the monitoring and corrective action
for at least one half. of the work sites by July 19, 19850
* Where corrective action is determined necessary as a result of

information discovered, during the. monitoring Visits, a
Corrective Action Plan will be submitted to the Prime Sponsor
with the Monitoring Report Form within five working days of the
monitoring visit.
* Written procedures will be.established for recording time and
attendance of all SYETP- funded positions, staff and
participants. They will include sign -in logs for attendance,'
sign -off sheets for receipt of pay checks, and other rules as
necessary.
* Contractor will provide an orientation to each participant: at
or prior to start of SYETP assignment, including program goals
and purpose, rights and benefits , (including grievance'
procedures), time and attendance policies, SYETP and work site
rules, work site specifics such as supervisor's name, site
address and phone number, hours of work, job duties, training
required,, and Prime-Sponsor contact names and numbers. A copy
of the Prime Sponsor- issued Participant Orientation Manual will
be provided to each participant at the time of assignment to
work site.
* 100% of participants enrolled by the Contractor will receive
the Job Search Assistance /Labor Market Orientation scheduled by
the Department of Recreation and Human Services, Youth Services.
